Choosing the right entity

A Wholly Foreign-Owned Enterprise is the standard vehicle. It is a Chinese limited liability company owned entirely by foreign shareholders, and it can invoice in RMB, hire staff directly, and repatriate profits subject to tax clearance. Consulting, trading and technology WFOEs each have different scope wording, and the business scope you register determines what you may lawfully invoice for.

A Representative Office is cheaper and faster but cannot generate revenue — it exists for liaison, market research and quality control, and it is still taxed on a deemed-profit basis. A joint venture is required only in the small number of sectors still restricted under the negative list. We recommend based on what you need to invoice, not on what is quickest to register.

The registration sequence

Registration in Shanghai runs through a defined chain of authorities, and each step depends on the one before it. Name pre-approval, then the business licence from the market regulation administration, then carving the company chops, then bank accounts, then foreign exchange registration and tax registration.

The step that most often stalls a project is the registered address: it must be a genuine commercial address that the district authority will accept and inspect. Virtual addresses that work elsewhere do not reliably work here.

Capital, costs and timelines

China no longer imposes a universal minimum capital for most activities, but registered capital is still a commercial signal, and recent rules require subscribed capital to be paid within a defined period rather than left indefinitely on paper. Capital should be set to a realistic funding plan — high enough for credibility and operations, not so high that it creates an obligation you cannot meet.

A straightforward Shanghai WFOE typically takes two to four months from document preparation to a fully operational entity with banking and fapiao capability. Notarised and legalised shareholder documents from the home country are usually the long pole, so those should start first.

Operating compliantly after launch

China's ongoing compliance load is heavier than most first-time entrants expect. Monthly and quarterly tax filings, annual audit and annual inspection, corporate income tax reconciliation, individual income tax for employees and foreign staff, and strict rules governing cross-border payments all apply from the first month.

The chops matter too: whoever physically holds them can bind the company. We advise on chop custody, legal representative selection and internal controls before those decisions become disputes.

Can I own 100% of a company in Shanghai?

It is the official tax invoice. Chinese customers cannot claim their costs without one, so a company that cannot issue fapiao struggles to win business regardless of its licence. Getting fapiao capability and, where appropriate, general taxpayer status is part of our scope.
